1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Ryters Spot website at ryters-spot.com and your engagement with Ryters Spot Limited ("Ryters Spot", "we", "us" or "our") for any of our services. By accessing this website or commissioning any service from us, you confirm that you have read, understood and agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our website or services.
2. Our Services
Ryters Spot provides specialist services across four core areas:
- Research and Academic Enquiry
- Digital Transformation and Automation
- Ed-Tech Services
- Product Management
The specific deliverables, scope, timeline and fees for each engagement are set out in a separate project agreement or proposal agreed upon by both parties.
3. Engagement and Agreements
Each client engagement begins with a written proposal or statement of work that details the agreed scope, timeline, deliverables and fees. Work commences only upon written confirmation of the proposal and receipt of any agreed deposit.
Any changes to the agreed scope must be agreed in writing by both parties. Scope changes may result in revised timelines or fees, which will be communicated before work proceeds.
4. Payment Terms
Deposits and payment schedules
A deposit of 50% of the project fee is required before work commences, unless otherwise agreed in writing. The remaining balance is due upon delivery of the final deliverable, unless a different payment schedule is specified in the project agreement.
Late payment
Invoices not settled within 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance. We reserve the right to pause work on active projects where payment is overdue.
Refunds
Deposits are non-refundable once work has commenced. Where a project is terminated before completion, fees will be calculated on a pro-rata basis for work completed. Refund requests are assessed on a case-by-case basis.
International payments
All fees are quoted in the currency specified in the proposal. Clients are responsible for any bank transfer fees or currency conversion charges. We accept payment by bank transfer, PayPal and other methods specified in the proposal.
5. Intellectual Property
Ownership of deliverables
Upon receipt of full payment, all intellectual property rights in the deliverables created by Ryters Spot specifically for the client under the engagement vest in and are assigned to the client. This includes ghostwritten content, research outputs and all project-specific materials.
Our pre-existing materials
Any methodologies, frameworks, templates or background materials developed by Ryters Spot prior to or independently of the client engagement remain the intellectual property of Ryters Spot. We grant the client a non-exclusive licence to use these where they form part of the deliverables.
Portfolio and references
Unless expressly agreed otherwise, we will not include client work in our portfolio or reference the client relationship publicly. Confidentiality provisions apply to all engagements.
6. Confidentiality
We treat all client information, project details, content and communications as strictly confidential. This obligation applies to all members of our team and continues indefinitely after the conclusion of any engagement.
We will sign a Non-Disclosure Agreement (NDA) at the client's request at any stage of the engagement. Our standard confidentiality provisions provide equivalent protection to a formal NDA.
Clients agree to keep confidential any proprietary methodologies, pricing structures and internal processes of Ryters Spot disclosed during an engagement.
7. Warranties and Representations
We warrant that:
- Our services will be delivered with reasonable skill and care by qualified professionals
- All original content we produce is created by us and, to our knowledge, does not infringe any third-party intellectual property rights
- We will disclose any material conflicts of interest before accepting an engagement
We do not warrant that academic writing support will result in any specific grade, mark or academic outcome. Results depend on factors outside our control, including the policies and standards of the relevant institution.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Ryters Spot's total liability for any claim arising out of or in connection with an engagement shall not exceed the total fees paid by the client for that specific engagement in the 12 months preceding the claim.
We shall not be liable for any indirect, consequential, incidental or special damages, including loss of profits, loss of data or loss of opportunity, whether arising in contract, tort or otherwise, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be limited by law.
9. Termination
Either party may terminate an engagement by giving 14 days' written notice to the other party. On termination:
- The client will pay for all work completed up to the date of termination on a pro-rata basis
- We will deliver all completed work and materials to the client upon receipt of payment for work done
- Confidentiality obligations survive termination indefinitely
We reserve the right to terminate an engagement immediately if the client acts in breach of these Terms, engages in abusive or inappropriate conduct, or fails to make payment after reasonable notice.
10. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. However, for clients based in the United Kingdom or European Union, mandatory consumer protection laws of the client's jurisdiction may apply in addition to these Terms.
Any disputes shall first be referred to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Nigeria, unless a different jurisdiction is agreed in the project agreement.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements or business practices. We will update the "last updated" date at the top of this page. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
